Terms of Service
Imperium Task Manager ("Imperium", "the service", "we") is a work-management service for cleaning and field-service companies, published by Margian Digital LLC. These terms are an agreement between Margian Digital LLC and you — the company that signs up and every person who uses an account under it. By creating an account or using the service you agree to them. If you create a company, you confirm you're authorized to accept these terms on its behalf.
The service
Imperium provides a web console for managers and a crew app (in the browser and on mobile) for scheduling jobs, completing checklists with photo proof, tracking hours, reporting issues, and team messaging. We may improve or change features over time; we won't materially reduce the core service you pay for without notice.
Accounts and companies
- Signing up with a company name creates a company workspace and makes you its manager. Managers can invite crew and other managers; invites join the inviter's company only.
- You're responsible for keeping account credentials confidential and for activity under your company's accounts, including who you invite and what roles you give them.
- Accounts are for people 16 or older acting in a work context.
Your content
Jobs, checklists, photos, hours, issues, and messages ("work records") belong to the company they were created in. You give us permission to host, store, process, and display them — only as needed to run the service. Crew members' work records are part of their company's records and are visible to that company's managers, as described in the Privacy Policy. When a crew member deletes their account, their personal records are removed but photos attached to company jobs remain with the company.
Photo proof and timestamps
Photo timestamps are recorded from the moment of upload as reported by the uploading device. They're a working record for you and your clients — we don't warrant them as legal evidence, and you're responsible for how you use them with your own customers.
Acceptable use
Don't use the service to break the law, to store or send content you have no right to, to harass anyone, to probe or disrupt the service's security, or to send unsolicited email through invite features. Photos must relate to the work being documented. We may suspend accounts that violate this section.
Plans, trials and billing
- Free trial — every new company gets 30 days of the Pro plan free, no card required. One self-serve 14-day extension is available, and referrals can add more (below). When a trial ends you move to the Free plan; nothing is deleted.
- Free plan — 1 active manager and 2 active crew members. Proof photos older than 30 days are archived (locked in the manager console, never deleted) until the company upgrades.
- Pro plan — billed through Stripe at $6 per active crew seat per month, with a one-seat minimum while Pro is active (a Pro company with no active crew still pays for one seat); managers are free. Your seat count follows your active crew automatically, and seat changes are prorated by Stripe. Prices may change with at least 30 days' notice, effective at your next billing cycle.
- Cancelling — cancel anytime from Settings → Plan & billing; Pro stays active until the end of the paid period, then the company moves to the Free plan. We don't refund partial months, except where the law requires or when a charge was our mistake — write to us and we'll make billing errors right.
- Nonpayment — if payment fails repeatedly, the company moves to the Free plan; your data is not deleted.
Referrals
Referral codes give both companies +30 trial days, up to six referrals per company. Referrals must be real, independent companies — we may reverse bonuses from self-referrals or other abuse.
Ending the relationship
You can stop using the service anytime. Crew members can delete their own account in the app (Profile → Delete account); a company dissolves when its last active member leaves. We may suspend or terminate accounts that materially violate these terms, with notice where practical. On termination, the billing rules above apply and the Privacy Policy governs what happens to data.
Disclaimers
The service is provided "as is" and "as available". We work hard to keep it reliable, but we don't promise it will be uninterrupted or error-free, and we're not responsible for the work your company performs for its own customers, for disputes between companies and their crew, or for decisions you make based on records in the service. If you ever need a copy of your company's data, contact us and we'll help.
Limitation of liability
To the fullest extent the law allows, Margian Digital LLC's total liability for any claims arising out of the service is limited to the amount your company paid us in the 12 months before the claim, and we're not liable for indirect, incidental, or consequential damages (like lost profits or lost business). Some jurisdictions don't allow parts of this limitation, so it may not fully apply to you.
Indemnity
If a third party brings a claim against us because of your company's use of the service in violation of these terms or the law, your company will cover our reasonable costs of dealing with that claim.
Governing law
These terms are governed by the laws of the State of New York, and disputes will be handled in the state or federal courts located in New York, unless the law where you live requires otherwise.
Changes to these terms
If these terms change materially, we'll update this page and its effective date, and give managers reasonable advance notice by email before the change takes effect. Continuing to use the service after that means you accept the updated terms.
